Non-Voting Depositary Receipt: A New Financial Instrument to Attract More Foreign Investment into Vietnam

Abstract

Non-Voting Depositary Receipt (NVDR) is an effective financial instrument for attracting foreign investment without violating regulations on foreign ownership limits in public companies, while also preventing foreign investors from taking control of domestic enterprises. However, although Vietnamese law has recognized the concept of NVDR, it has not yet established a comprehensive legal framework governing this financial instrument. This paper analyzes the necessity and suitability of introducing NVDR in Vietnam and proposes recommendations for developing and improving the legal framework to facilitate its official implementation in practice.
