Improving the legal framework for online enterprise registration in the context of national digital transformation

This study analyzes and evaluates the current legal framework governing online enterprise registration in Vietnam, particularly in light of the significant changes introduced by the 2025 Law on Enterprises, Decree No. 168/2025/ND-CP, and Decree No. 296/2026/ND-CP. Based on the collection and analysis of empirical data from the Mekong Delta region, specifically Tra Vinh, Ben Tre, and Vinh Long, covering the periods before and after the merger of provincial-level administrative units, the study highlights substantial progress in the digitalization of administrative procedures. At the same time, it identifies several remaining legal and practical gaps, including the absence of real-time biometric authentication mechanisms, challenges in managing beneficial ownership information, and shortcomings in application processing times. Accordingly, the study proposes legal reforms and technological solutions, including e-KYC and artificial intelligence (AI), to ensure data security, enhance the transparency of the investment environment, and advance the national digital transformation process.
