Corporate governance in the prevention and resolution of commercial contract disputes: Insights from Vietnamese practice

Abstract
This study examines the role of corporate governance in preventing and resolving commercial contract disputes in Vietnam. It combines doctrinal legal research with qualitative analysis based on Vietnamese law, international governance frameworks, and selected reports, precedents, and judgments. The findings indicate that dispute risks may arise throughout the contract lifecycle when delegation of authority, counterparty due diligence, compliance control, change management, and evidence management are fragmented. The study proposes a five-layer integrated contract risk governance model linking senior-level governance, internal control, risk management, compliance, and contract lifecycle management. The model provides a coherent control framework that may help enterprises improve dispute prevention and resolution while offering a reference for further research and practical corporate governance.
