Contract interpretation and considerations for drafting notarized documents

Contract interpretation is governed by Article 404 of the 2015 Civil Code and is intended to clarify contractual provisions that are ambiguous or capable of multiple interpretations. In the case of notarized documents, accuracy, clarity, and precision in drafting are particularly important in order to minimize the need for subsequent interpretation. This study employs analytical and synthesis methods to examine relevant provisions of the 2015 Civil Code and the 2024 Law on Notarization, together with a comparison with practical notarial practice, in order to clarify the rules on contract interpretation and the issues arising in the drafting of notarized documents. On this basis, the study proposes several considerations and solutions to improve drafting skills and enhance the quality of documents prepared in notarial practice.
