The early rescue model under the 2025 Law on Recovery and Bankruptcy: Theoretical foundations, limitations, and its potential to prevent zombie enterprises in Vietnam
Published: September 16, 2026
Abstract
This study analyzes the early rescue model under the 2025 Law on Recovery and Bankruptcy from legal and bankruptcy-economics perspectives. Using analytical and comparative-law methods, the study clarifies the relationship between enterprise recovery mechanisms and the risk of prolonging the existence of businesses that are no longer genuinely viable. The findings show that broader access to recovery procedures can preserve enterprise value, maximize debt recovery, and maintain employment. However, without viability assessment, periodic monitoring, and timely termination mechanisms, recovery procedures may prolong the survival of inefficient firms. Drawing on Directive (EU) 2019/1023 and U.S. Chapter 11, the article proposes viability screening and monitoring mechanisms to balance the objective of rescuing enterprises with bankruptcy law’s market-cleansing function.
