Balancing legal liberalization and state control in international financial centers: Proposals for Vietnam

Abstract
This study examines the relationship between financial liberalization and state control in the establishment and development of international financial centers in Vietnam. Drawing on legal analysis, comparative law, and policy research, it reviews institutional models adopted in Singapore, Dubai, and other jurisdictions. The findings show that successful international financial centers do not require states to relinquish national legal sovereignty. Rather, their effectiveness depends on creating a specialized legal environment that offers predictability, procedural flexibility, and international compatibility while preserving state authority over financial stability, public order, and economic security. The study proposes a model of “controlled legal liberalization” suited to Vietnam’s legal, political, and socioeconomic conditions and recommends clearer rules on applicable law, specialized dispute resolution, regulatory autonomy, state supervision, and institutional accountability.
