Enhancing the Legal Framework fo Attracting International Green Capital to Vietnam: Perspectives from Foreign Exchange Management, Currency Risk, and Private International Law

Abstract
This study analyzes the structural regulatory barriers to international ESG capital inflows into Vietnam amid its Net Zero 2050 transition. Under the dual lenses of Transnational Legal Process (TLP) and Conflict of Laws theories, the research identifies three systemic bottlenecks: (i) liquidity risks arising from stringent foreign exchange management and closed capital account mandates; (ii) financial structural vulnerabilities caused by currency mismatch between local-currency revenues and foreign-currency debt liabilities, compounded by a lack of long-term derivatives; (iii) legal grey areas regarding governing law selections and jurisdictional barriers to international arbitration.
Drawing on the latest legal framework governing the Vietnam International Financial in Ho Chi Minh City (VIFC-HCMC), the study proposes measures to optimize capital mobility, hedge long-term foreign exchange risks, and secure a safe legal environment through the strategic adoption of Common Law principles and independent international arbitration.
