Regulations on Independent Directors of the Board of Directors from the Perspective of Trusteeship Strategy

Abstract

The applicability of the agency theory to corporate governance has been affirmed from research to practice. However, this theory also raises the issue that lawmakers, as well as companies, should pay attention to is the good resolution of conflicts between shareholders and the Board of Directors (BOD). The implementation of the trusteeship strategy to protect shareholders’ interests against the risk of abuse of power by the BOD is always a concern. This BOD analyses this strategy and evaluates the shareholder protection mechanism in the context of Vietnam’s current conditions from a comparative perspective, and proposes some recommendations.
