The corporate governance of joint stock company in some countries and lessons learnt for Vietnamese companies

Corporate governance is often generally understood from the perspective of joint stock company governance. And in different countries, corporate governance can be viewed in different perspectives. In Vietnam, the promulgation of the Law on Companies in 1990 and the Law on Enterprises in 1999 (amended and supplemented in 2005, 2014, and 2020) have created favorable conditions for the establishment and operation of all business types including joint stock company. However, the corporate governance in Vietnamese joint stock companies is still a new aspect. This paper presents basic issues of corporate governance in some countries, thereby drawing lessons learnt for Vietnamese companies.
