Some inadequacies in Vietnamese law on the exemption from the liability of damages for the breach of goods sale and purchase contract

Exemption from liability for compensation for damages due to breach of the goods sale and purchase contract means that the party who violates the contract (seller or buyer) is not responsible for compensating for damages caused actually and directly if it can be proven that it is in the cases agreed upon by the parties in the contract or prescribed by law. Vietnamese law already has a legal framework with regulations on this issue. However, these regulations are still not uniform, and it is necessary to supplement and improve these regulations to create favorable conditions for application and protect the interests of the parties in the goods sale and purchase contract. This paper outlined the legal nature of liability for compensation due to violation of the sale and purchase contract and the concept of exemption from liability for compensation due to violation of the goods sale and purchase contract. Based on the paper’s findings, some recommendations were made to improve regulations on the exemption from liability for compensation for damages due to breach of the goods sale and purchase contract.
