Determining concession prices for public asset exploitation under O&M contracts: Risks of valuation discrepancies and recommendations

Abstract

The concession of public asset exploitation rights through Operation and Management (O&M) contracts represents a potentially effective form of public-private partnership for the operation of existing infrastructure facilities. In this context, determining a reasonable concession price is essential to balancing the interests of the parties and ensuring project feasibility. Using analytical, synthesis, comparative, and case study methods, this article examines the basis and process for determining concession prices under Vietnam’s legal framework for public-private partnership (PPP) investment, with reference to World Bank guidelines. Drawing on two cases: the 407 ETR in Canada and the Ho Chi Minh City - Trung Luong Expressway in Vietnam, the study identifies the risk of “seller’s remorse” when the concession price deviates substantially from the actual value of the exploitation rights. On this basis, the study proposes several recommendations for mitigating valuation discrepancy risks in the determination of concession prices.
