Tách chức danh chủ tịch hội đồng quản trị và tổng giám đốc trong công ty cổ phần: Hướng tới độc lập thực chất

Bài viết phân tích quy tắc tách chức danh chủ tịch hội đồng quản trị và giám đốc hoặc tổng giám đốc trong công ty cổ phần theo pháp luật Việt Nam, nhằm làm rõ chức năng, giới hạn và hướng hoàn thiện của quy tắc này. Nghiên cứu sử dụng phương pháp phân tích quy phạm pháp luật, tổng quan tài liệu và đối chiếu với các chuẩn mực quản trị công ty quốc tế. Kết quả cho thấy, quy tắc cấm kiêm nhiệm chủ yếu nhằm ngăn ngừa rủi ro tự giám sát của người điều hành, nhưng việc tách chức danh không đương nhiên bảo đảm tính độc lập thực chất của Hội đồng quản trị. Bài viết đề xuất duy trì phạm vi áp dụng hiện hành của quy định cấm kiêm nhiệm, đồng thời tăng cường cơ chế công bố, giải trình và vai trò của thành viên Hội đồng quản trị độc lập đứng đầu để nâng cao hiệu quả giám sát.
